General Conditions of Sale of products via the YOORTAG.com website

1 – Applicability

The present General Terms and Conditions of Sale (“GTC”) define the conditions under which PROOFTAG under its commercial name (“YOORTAG”) provides its professional customers (“Customers”) for the needs of their professional activities, the products marketed via its website www.yoortag.com as described below (the “Product(s)”)

PROOFTAG is a limited company with a capital of €559,590 registered in the Montauban Trade and Companies Register under number 477 790 059 and whose registered office is located at 1100, Avenue de l’Europe, 82000 Montauban.

The present GTC constitute the unique basis of the commercial relationship between YOORTAG and the Client. They apply without restriction or reserve to all sales of Products concluded between YOORTAG and the Client whatever the clauses that may appear on the documents of the Client, and in particular its general conditions of purchase.

The General Terms and Conditions are systematically communicated to any Client who requests them, in order to allow him to place an order with YOORTAG. Any order of Products implies, on the part of the Client, the acceptance of the present GTC.

2 – The Products

The Products offered for sale by YOORTAG are those listed on the website www.YOORTAG.com.

YOORTAG can also offer customised products, customisable products and/or products off the site on specific order of the Client.

The descriptions and the information of the Products appearing on the site YOORTAG.com are provided to the Customer as information and are not exhaustive. It is up to you to respect the instructions of the manufacturer of the product relating to its installation and/or use delivered with the Product or available on the YOORTAG website. The illustrations of the Products on the website have no contractual value.

In the event that a Product is unavailable, YOORTAG reserves the right to substitute it with a Product of equivalent quality to that initially ordered.

3 – Prices

The Products are supplied at the rates in force at the day of the placing of the order on the Internet site. These prices are firm and non-revisable during their period of validity, as indicated on our website, or if applicable, in the special conditions agreed with the Customer. Prices may vary in the event of exceptional changes in the price of raw materials, time-limited promotional offers and/or changes in regulations relating to eco-taxes or other taxes. The reference price is the one indicated on our website www.YOORTAG.com at the time the order is placed.

All our prices are displayed in euros and exclusive of tax. They include the eco-participation for the Products which are subject to it. They do not include transport, customs duties or insurance, which shall be borne by the Customer. A delivery charge of €50.00 exclusive of tax will be invoiced for any order of less than €200 exclusive of tax.

If an offer has a limited period of validity, or if it is made under certain conditions, this is expressly mentioned in the offer.

The offer includes a complete and accurate description of the products and/or services offered. The description shall be sufficiently detailed to allow a correct evaluation of the offer by the Client. If YOORTAG uses illustrations, these are a non-binding illustration of the products and/or services offered. YOORTAG does not give any guarantee and does not assume any liability in this respect.

4 – The agreement

The agreement is realized at the moment of the acceptance by the Client of the offer on the site of YOORTAG.com and after having filled the conditions which are envisaged there.

In accordance with the law, YOORTAG has the right to investigate whether the Client can meet its payment obligations and the facts and factors that are important for the responsible conclusion of the distance agreement. If on the basis of this examination YOORTAG may have good reasons not to conclude the agreement, it has the right to refuse an order or a request in a justified way, or to impose special conditions on the execution.

At the time of delivery of the YOORTAG product or the YOORTAG service, YOORTAG will send the Client the following information in writing or in such a way that it can be saved by the Client in an accessible way on a durable data carrier:

the visiting address of the YOORTAG branch office where the Client can lodge a complaint;
the conditions under which and the way in which the Customer can exercise his right of withdrawal, or an explicit statement concerning the exclusion of the right of withdrawal.

5 – Returns

The Products (except custom-made and customizable packaging products) appearing on the website and not corresponding to the expectations of the Client, can be returned to YOORTAG under the following conditions:

The Client must send to YOORTAG a request for return within a maximum period of thirty (14) calendar days from the date of delivery of the concerned Product;
The YOORTAG Product returned must be in perfect condition, without having been used, accompanied by its invoice and accompanied by all its accessories and its documentation and in its original unaltered packaging;
Except in the case provided for in the following article, customised or personalised Products may not be returned.
Packaging and transport costs for both the outward and return journeys shall be borne by the Customer.
If the above mentioned conditions are met, YOORTAG will communicate to the Client a file reference as well as the instructions to follow concerning the return procedure.

YOORTAG will be able at its sole discretion to choose between :

An exchange of the Product.
The issuance of a credit note of an amount equivalent to that initially invoiced. This credit note will then be credited to the Client’s account and will be valid for one (1) year.

6 – Intellectual property

YOORTAG retains all industrial and intellectual property rights relating to the Products, photos and technical documentation which may not be communicated or reproduced without its written authorisation.

7 – Personal data

Within the framework of the execution of the contract, YOORTAG is led to collect personal data relating to the Client or to its employees or agents as the person in charge of processing, and to keep them for a period not exceeding the purposes for which they were collected.

This information is processed and stored under conditions designed to ensure its security and confidentiality in accordance with the regulations in force. For any information concerning the data collected and your rights, please consult our privacy policy.

Changes to this agreement

We reserve the right, at our sole discretion, to modify or replace these Terms and Conditions by posting updated terms on the Site. Your continued use of the Site following any such changes constitutes your acceptance of the new terms and conditions.
